Professional Practice

Xizhen is developing a broad civil and commercial practice, with a particular affinity for cross-border litigations and international arbitrations involving disputes arising out of secured financing and equity investment transactions: -

HKIAC arbitration (dispute as to transfer of shares of a Hong Kong Company and land situate in the PRC; HK Law as governing law; PRC law as lex situs on land issues; 2013 HKIAC Administered Arbitration Rules)

Provided expert opinion on HK law in a CIETAC arbitration involving shareholders disputes

Advised a minority shareholder of a PRC company listed on Shenzhen Stock Exchange with a HK holding company on inter alia trust law and liability of trustee, and forum shopping and forum non conveniens

Advised a minority shareholder of a Cayman Islands Company listed on NYSE on inter alia recourse against controlling shareholder

Advised a Taiwan company on enforcement of Taiwan judgment in Hong Kong courts

Frequently advise overseas clients on enforcement of PRC judgments and arbitral awards in Hong Kong

Xizhen’s civil practice also covers company winding-up, derivative actions and shareholder disputes. Recent cases include Re Meanmax Ltd [2020] 1 HKLRD 546 (striking out prayer for winding-up; costs and variation of validation order) (with Mr Andrew Mak).

He also has experience in dealing with various disciplinary matters, including, for example, appeals before the Insurance Appeals Tribunal under the Insurance Ordinance, Cap 41 (and the previous regulatory body of Hong Kong Federation of Insurers), and proceedings under the rules of the Association of China-Appointed Attesting Officers Limited.

He has also accepted instructions to provide legal service in relation to proceedings in the PRC and advise on PRC law, including matters on recognition and enforcement of foreign / HK arbitral awards in the PRC and interim measures in aid of HK arbitral proceedings with the benefit of the latest arrangement concerning mutual assistance by the courts.
